1. Definitions

For the purposes of these Terms & Conditions (“Terms”), the following definitions apply:

“HokoCloud”, “We”, “Us”, “Our” – refers to Caprico Ltd., a company incorporated in Cyprus under registration number HE 369301, operating the HokoCloud platform and associated services.

“Platform” – the HokoCloud software, website, mobile apps, trading infrastructure, APIs, VPS resources, and all related technology solutions.

“User”, “You”, “Client” – any individual or legal entity accessing, registering or using the Platform.

“Trader” – a User who publishes trading strategies, signals, or performance data on the Platform.

“Strategy” – a trading methodology, account, or signal created by a Trader and made available for social trading, replication, or subscription.

“Broker Partner” – any regulated broker integrated with the Platform (e.g., MT4/MT5 brokers).

“Copy Trading” / “Social Trading” – the automated replication of trades from a Trader’s Strategy into a User’s broker account.

“Wallet” – the internal credit balance used to pay daily fees and charges on the Platform.

“Performance Fees” – fees charged on profits generated by certain Strategies, calculated using a High-Water Mark model.

“VPS” – Virtual Private Server hosting provided as part of our services.

“Services” – all features, software, infrastructure, VPS services, social trading, analytical tools, and technology provided by HokoCloud.

2. Legal Nature of the Service

HokoCloud is a technology provider.
We are not a broker, financial institution, investment advisor, asset manager, or portfolio manager.

HokoCloud does NOT:

Execute trades

Hold or manage client funds

Influence spreads, swaps, commissions, or execution quality

Offer investment recommendations

Guarantee results or profits

Verify or supervise strategy creators

Control broker-side execution, liquidity or trading conditions

Nothing on the Platform constitutes financial advice, investment advice, or a recommendation under MiFID II, ESMA rules, or any other financial regulation.

You are solely responsible for your decisions and for selecting any Strategy or Trader.

3. Eligibility & Account Registration

To use the Platform, you must:

be at least 18 years old (or of legal age in your jurisdiction)

have full legal capacity to enter into a binding agreement

provide accurate and up-to-date information

not be a resident of a sanctioned or restricted jurisdiction

not be prohibited from using trading platforms or financial services

We reserve the right to request identification, proof of address, or verification documents to comply with regulatory, anti-fraud, or security obligations.

We may suspend or terminate accounts used for fraud, manipulation, or violations of these Terms.

4. Overview of Platform Services

HokoCloud provides technology including:

Social Trading / Copy Trading infrastructure

Performance tracking and analytics

VPS hosting integrated with broker accounts

User dashboards and monitoring tools

Strategy creation tools for Traders

Internal wallet billing system

APIs and third-party integrations

We do not guarantee that all services will be available at all times.

5. Social Trading & Automated Execution Disclaimer

By using any copy-trading features, you expressly acknowledge:

Copy Trading is high-risk and speculative

Past performance does not guarantee future results

You may lose some or all of your invested capital

Replication may differ from the Trader’s original account due to broker differences

Market conditions may result in slippage, delays, requotes, or failed orders

Automated trading may open or close positions without manual approval

You are fully responsible for enabling, disabling, or configuring replication settings

HokoCloud is not responsible for:

losses caused by traders you follow

trader misconduct

incorrect strategy settings

delayed or failed trade execution

discrepancies caused by your broker

EA errors, VPS failures, or broker outages

any actions taken by Traders on their own accounts

You acknowledge all inherent risks of automated and algorithmic trading.

6. Fee Structure & Billing

HokoCloud uses daily billing, deducted from your Wallet.

Copy Trading Accounts

Live MT4/MT5: $0.85 / day

Demo MT4/MT5: $0.35 / day

Sponsor Accounts: No cost

VPS Hosting

1 CPU / 1GB RAM / 25GB SSD: $0.85 / day

1 CPU / 2GB RAM / 55GB SSD: $1.15 / day

2 CPU / 4GB RAM / 80GB SSD: $1.70 / day

Performance Fees

Calculated monthly (High-Water Mark)

Apply to total profits of the account (manual, copied, or EA trades)

Distributed between Trader, Affiliate, and HokoCloud

General Billing Conditions

Fees continue daily until you cancel the service

Fee changes may occur with 14-days notice

No refunds for:

Performance fees

Strategy profits

Broker or execution conditions

Misconfigurations or user errors

Downtime outside HokoCloud’s control

7. Cancellation & Refund Policy

You may cancel any service at any time through the Platform.

Daily fees stop immediately once cancellation is processed

Charges accrued prior to cancellation remain due

Refunds

We offer one month of usage refund for a cancelled service, provided:

The request is within the active usage period

No abuse, fraud, manipulation or violation of Terms occurred

The service is not promotional or discounted

Refunds apply only to daily service fees, not to performance fees or trading outcomes.

Refunds are credited to the original payment method where possible, or to the Wallet.

8. Acceptable Use Policy (Prohibited Uses)

Users may not:

Engage in market manipulation, abusive trading, or wash trading

Attempt latency arbitrage or other malicious algorithmic behavior

Use bots or scrapers to extract data

Attack, hack, or reverse engineer the Platform

Interfere with other Users, Traders, or the infrastructure

Use multiple accounts to circumvent limitations

Abuse free VPS promotions

Misrepresent identity or ownership of trading accounts

Publish misleading or fraudulent trading performance

Violation may result in immediate suspension without refund.

9. Strategy Creator (Trader) Terms

If You publish a Strategy:

You remain fully responsible for your trading decisions

You confirm that your broker allows strategy sharing / copying

You grant HokoCloud a license to use, display, and promote your Strategy

You acknowledge that performance fees depend on Users’ results, not your own

You must not manipulate performance data or use practices intended to mislead

HokoCloud may remove or suspend a Strategy at its discretion

You are not an employee, agent, or representative of HokoCloud.

10. Service Availability & Technical Limitations

HokoCloud provides the Platform “as-is” and “as-available”, without guaranteed uptime.

We are not liable for:

VPS outages

Broker outages or execution failures

Internet connectivity issues

Data feed delays or inaccuracies

Maintenance windows

Third-party provider failures

MT4/MT5 platform issues

Force majeure events (network failures, cyberattacks, etc.)

We may suspend the Platform for maintenance or security reasons.

11. Disclaimer of Warranties

HokoCloud expressly disclaims all warranties, whether express or implied, including:

merchantability

fitness for a particular purpose

accuracy of data

uninterrupted service

error-free software

You use the Platform entirely at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law:

A. Liability Cap

HokoCloud’s total liability is limited to the total amount of fees paid by You in the 30 days preceding the claim.

B. Excluded Damages

We are not liable for:

indirect, special, incidental, punitive, or consequential damages

loss of profits, strategies, data, or business

losses arising from:

broker execution

market movements

trader decisions

VPS issues

EA or indicator errors

delays, outages, or technical failures

unauthorized account access caused by You

force majeure events

These exclusions apply even if we have been advised of the possibility of such damages.

13. Intellectual Property

All software, content, logos, trademarks, designs, and technology on the Platform are the exclusive property of HokoCloud.

Users may not:

reverse engineer

copy or duplicate the Platform

frame or reproduce content without permission

create derivative works based on the Platform

Strategy names and descriptions remain property of the Trader, who grants HokoCloud a non-exclusive, worldwide, royalty-free license to display and promote them.

14. Privacy & Data Protection

We process personal data according to our Privacy Policy and GDPR.

We may:

collect necessary data for account operation

process aggregated or anonymized analytics

share information with service providers when required

retain data as required by law (accounting, AML, etc.)

We do not sell or rent your personal data.

You may request access, correction, or deletion as permitted under GDPR.

15. Term & Termination

We may terminate or suspend your account:

for violating these Terms

for fraudulent or harmful behavior

for misuse of the Platform

for legal or regulatory reasons

if required by a broker partner

You may terminate your account at any time.

Termination does not affect:

outstanding fees

accrued performance fees

rights and obligations that survive termination (e.g., liability limitations)

16. Amendments to Terms

We may amend these Terms at any time.

Changes will be posted on our website

Significant changes will be notified by email

Continued use of the Platform = acceptance of changes

If you disagree, you must stop using the Platform and close your account

17. Governing Law & Dispute Resolution


These Terms are governed by the laws of Cyprus.

Dispute Process

If unresolved, parties will attempt informal negotiation

If still unresolved, disputes shall be referred to binding arbitration in Cyprus

Users waive the right to participate in class actions or collective proceedings

Either party may bring qualifying disputes to small claims court.

Claims relating to intellectual property rights may be brought before competent courts.

By creating an account, accessing, or using the HokoCloud Platform, you confirm that:

you have read and understood these Terms

you agree to be legally bound by them

you acknowledge all risks associated with automated trading

you consent to the processing of your data under the Privacy Policy

If you do not agree to these Terms, you must stop using the Platform immediately.
